1. Who we are
Uncram is an AI study planner. It is currently run by its founders, Shawn Fajardo and Benjamin Akilov, in New York, New York, and has not yet been incorporated. “Uncram,” “we,” “us” and “our” mean them, and, once it’s formed, the company that runs Uncram, which will take over this agreement. “You” means the person using Uncram.
2. Who can use Uncram
- You must be at least 13 years old. Uncram isn’t for children under 13.
- If you’re under 18 (or the age of majority where you live), you need a parent’s or guardian’s permission. They agree to these terms for you and are responsible for your use, including any purchases.
- You can’t use Uncram if we have previously banned you, or if the law prohibits you from using it.
3. Your account
- Give us accurate information and keep your email address up to date.
- Keep your password private and use one you don’t use anywhere else. You’re responsible for activity on your account. Tell us right away at hello@getuncram.com if you think someone else has accessed it.
- Accounts are personal. Don’t share, sell or transfer yours.
- You can delete your account at any time in Profile & settings → Delete my account.
4. What Uncram does (and doesn’t)
Uncram helps you organize schoolwork: it reads your syllabi, builds a study plan, syncs your school calendar, and offers reminders, grade tools and ways to study with friends. It is a planning tool. Specifically:
- Your official course materials control. Your syllabus, your instructors and your school’s systems are the official source for deadlines, exam dates, grading and policies. Uncram may miss, misread or show out-of-date information. Always check important dates yourself.
- No guaranteed results. We don’t promise any grade, outcome or that you’ll never miss a deadline.
- Not professional advice. Uncram doesn’t give medical, mental-health, legal, financial or official academic advising. If you’re struggling, please reach out to your school or a qualified professional.
- Reminders and sync can fail. Notifications, calendar sync and syncing between devices depend on your device, your settings, your school’s systems and the internet. Don’t rely on Uncram as your only reminder for anything important.
5. AI features
Some features use artificial intelligence, including reading syllabi and Scout, our AI assistant. AI output (“Output”) can be inaccurate, incomplete or inappropriate, even when it sounds confident. You’re responsible for checking Output before you rely on it. Output may not be unique, and other users may receive similar Output. Don’t use Uncram’s AI to generate anything illegal, harmful or deceptive, or to try to get around its safeguards or usage limits. How your content is handled by our AI provider is described in our Privacy Policy.
6. Academic integrity
Uncram is built to help you plan and study, not to do your graded work for you. You’re responsible for following your school’s honor code and your instructors’ rules, including rules about AI tools. Don’t use Uncram to cheat, plagiarize or give or receive unauthorized help. We aren’t responsible for academic consequences of how you use Uncram.
7. Your content
- You own your content: the syllabi, files, photos, schedules, notes, messages and other material you add to Uncram (“Your Content”).
- Permission you give us. You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit and display Your Content only as needed to provide, secure and improve Uncram for you, as described in our Privacy Policy. This includes sending it to service providers like our AI provider to answer your requests. This license ends when you delete Your Content or your account, except for copies in backups for a limited time, content you shared with others, and what the law requires us to keep.
- Aggregate information. We may create and use de-identified, aggregate information (like the average time students spend on a type of assignment). It doesn’t identify you.
- You have the rights. You promise that you have the right to upload Your Content and that it doesn’t violate anyone else’s rights or the law. Course materials often belong to your instructor or school. Upload them only for your own personal study use.
- Feedback. If you send us ideas or suggestions, we may use them without any obligation to you.
8. Rules for using Uncram
Don’t, and don’t help anyone else:
- break the law, or violate anyone’s privacy, intellectual property or other rights
- harass, threaten, impersonate or spam others, including through friend requests, usernames, photos or study invites
- upload anything that contains malware, or that is unlawful, hateful, sexually explicit, or exploits minors
- access other users’ accounts or data, or probe, scan or test our systems for vulnerabilities without our written permission (if you find a security issue, please report it to hello@getuncram.com)
- scrape, copy, reverse engineer or make automated requests to Uncram, or use it or its Output to build a competing product or train AI models
- get around usage limits, bot protection, paywalls or other restrictions, or create accounts in bulk
- overload, disrupt or harm Uncram, our providers or other users
- resell or commercially exploit Uncram without our written permission
We may remove content, limit features or suspend accounts that we reasonably believe break these rules.
9. Schools, other services and links
Uncram works alongside services we don’t control, including your school’s learning system (like Brightspace, Canvas, Blackboard, Moodle or Schoology), library booking sites, maps, email and app stores. Your use of them is governed by their own terms. We aren’t responsible for them, their content, or changes that stop them from working with Uncram. Uncram isn’t affiliated with, endorsed by or sponsored by your school or those companies. Their names are trademarks of their owners and are used only to describe compatibility. Only connect accounts and calendars that you’re allowed to use.
10. Paid plans, billing and cancellation
Uncram is free today. We may offer paid features, plans or subscriptions (“Paid Plans”). If you buy one, this section applies along with any terms shown when you buy.
- Price and taxes. You agree to pay the price shown at checkout, plus any applicable taxes. Prices are in U.S. dollars unless stated otherwise.
- Automatic renewal. Subscriptions renew automatically at the end of each billing period (for example, monthly or yearly) and you will be charged the then-current price using your payment method on file, until you cancel. Before you subscribe, we will clearly show the price, how often you’ll be charged, and how to cancel, and we will ask for your consent.
- Free trials and introductory offers. If a Paid Plan starts with a free or discounted trial, it will automatically convert to a paid subscription at the regular price when the trial ends unless you cancel before then. We’ll tell you the trial length and the price before you start, and where the law requires, we’ll remind you before the trial ends or before an annual plan renews. Trials are limited to one per person unless we say otherwise.
- How to cancel. You can cancel online at any time. Purchases in the iPhone app are managed in your Apple ID settings (Settings → your name → Subscriptions). Purchases on the web are canceled in Uncram’s account settings or by emailing hello@getuncram.com. Cancellation stops future charges. You keep access until the end of the period you already paid for.
- Refunds. Except where the law requires otherwise or we say so in writing, payments are non-refundable and we don’t give refunds or credits for partly used periods. If you think you were charged by mistake, contact us within 60 days and we’ll work with you to make it right. Refunds for purchases made through Apple or Google are handled by them under their policies.
- Price changes. We may change prices for Paid Plans. We’ll give you advance notice of any increase to an existing subscription, and the new price will apply only from your next billing period. If you don’t want to pay it, you can cancel before it takes effect.
- Payment issues. You authorize us (and our payment processor or app store) to charge your payment method. If a payment fails, we may retry it, and we may pause or downgrade your Paid Plan until it’s resolved.
- Changes to features. We may change which features are free or paid. If we remove a significant paid feature during a period you’ve paid for, we’ll offer a reasonable fix, like a prorated refund.
- Promotions. Promo codes and special offers may have extra conditions, have no cash value, and may be canceled if misused.
- Schools and organizations. If your school or another organization pays for your access, its agreement with us controls billing, and your access may end when that agreement ends.
11. Changes to Uncram and to these terms
Uncram is new and will change often. We may add, change or remove features, set or change usage limits, or stop offering all or part of Uncram. If we shut Uncram down, we’ll give you reasonable notice when we can, so you can save your information. We may update these terms. If a change is significant, we’ll tell you in the app or by email before it takes effect. If you keep using Uncram after changes take effect, you accept them. If you don’t agree, stop using Uncram and delete your account. Changes won’t apply to disputes that arose before the change.
12. Our intellectual property
Uncram, including its software, design, text, graphics, the Uncram name and logo, and Scout, belongs to us or our licensors and is protected by law. We give you a personal, limited, non-exclusive, non-transferable, revocable license to use Uncram for your own non-commercial purposes under these terms. We keep all rights not expressly granted.
13. Ending your use
You can stop using Uncram and delete your account at any time. We may suspend or end your access if you break these terms, if we must for legal reasons, to protect users or Uncram, or if we stop offering the Service. When we can, we’ll tell you first. If we end your Paid Plan without cause, we’ll refund the unused part of your prepaid period. Sections that by their nature should survive (like Your Content licenses for shared content, disclaimers, limits on liability, and dispute resolution) continue after your account ends.
14. Disclaimers
TO THE FULLEST EXTENT ALLOWED BY LAW, UNCRAM AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. WE DON’T WARRANT THAT UNCRAM WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT DEADLINES, DATES, GRADES OR OTHER INFORMATION WILL BE CORRECT OR COMPLETE, OR THAT REMINDERS OR SYNC WILL ALWAYS WORK. Some places don’t allow these disclaimers, so some may not apply to you.
15. Limits on our liability
TO THE FULLEST EXTENT ALLOWED BY LAW:
- WE WON’T BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR ACADEMIC OR EMPLOYMENT OPPORTUNITIES (INCLUDING MISSED DEADLINES, LATE PENALTIES OR GRADES), ARISING FROM OR RELATED TO UNCRAM OR THESE TERMS, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.
- OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO UNCRAM OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $50.
These limits apply to all legal theories and are an essential part of our agreement. They don’t limit liability that can’t be limited by law, such as for fraud, gross negligence or intentional misconduct.
Indemnity. If you use Uncram in violation of these terms or the law, or upload content that violates someone’s rights, you agree to defend and compensate us (and our team) for resulting claims, losses and reasonable legal fees, to the extent allowed by law.
16. Resolving disputes: arbitration and class action waiver
Please read this section carefully. It affects your legal rights.
- Talk to us first. Before starting any formal proceeding, you agree to email hello@getuncram.com with your name, contact information, and a description of the problem and what you want. We’ll do the same. We’ll both try in good faith to resolve it within 60 days. If it isn’t resolved by then, either of us may proceed as described below.
- Binding individual arbitration. Except as stated below, you and Uncram agree that any dispute, claim or controversy arising out of or relating to Uncram or these terms will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitrator, not a court, decides questions about the scope and enforceability of this agreement to arbitrate. Arbitration may take place by video or in the county where you live. The Federal Arbitration Act governs this section. Fees are paid as the AAA consumer rules provide, and we will pay any fees the rules require us to pay.
- Exceptions. Either of us may bring an individual claim in small claims court if it qualifies, or ask a court to stop infringement or misuse of intellectual property.
- No class actions. You and Uncram may bring claims only on an individual basis, not as a plaintiff or class member in any class, collective or representative action. The arbitrator may not combine more than one person’s claims. If this waiver is found unenforceable for a claim, that claim must go to court, not arbitration.
- Mass filings. If 25 or more similar arbitration demands are filed against us by or with the help of the same law firm or group, they will be handled in batches under the AAA’s mass arbitration procedures, to keep the process fair and manageable for everyone.
- Opting out. You can opt out of this arbitration agreement within 30 days of first agreeing to these terms by emailing hello@getuncram.com from your account email with the subject “Arbitration Opt-Out.” Opting out won’t affect anything else in these terms.
- Court. For any dispute not subject to arbitration, you and Uncram agree to the exclusive jurisdiction of the state and federal courts located in New York County, New York, and waive any right to a jury trial, to the extent allowed by law.
- Time limit. To the extent allowed by law, any claim must be filed within one year after it arises, or it is permanently barred.
17. Apple App Store terms
If you got the Uncram iPhone app from Apple’s App Store:
- These terms are between you and Uncram only, not Apple. Uncram, not Apple, is responsible for the app.
- Your license to the app is limited to Apple-branded devices you own or control, as Apple’s Usage Rules allow.
- Apple has no obligation to provide maintenance or support for the app.
- If the app fails to meet an applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). Apple has no other warranty obligation for the app.
- Apple isn’t responsible for addressing any claims about the app, including product liability, legal or regulatory compliance, consumer protection, privacy, or intellectual property infringement claims.
- You represent that you aren’t in a country subject to a U.S. government embargo or on a U.S. government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.
18. Copyright complaints
We respect intellectual property rights. If you believe content on Uncram infringes your copyright, send a notice to hello@getuncram.com with the subject “Copyright Notice.” Include:
- your contact information
- a description of the copyrighted work
- where the material is on Uncram
- a statement that you have a good-faith belief the use isn’t authorized
- a statement, under penalty of perjury, that your notice is accurate and that you’re the owner or authorized to act for the owner
- your physical or electronic signature
We may remove material and, in appropriate cases, end the accounts of repeat infringers.
19. General terms
- Governing law. These terms are governed by the laws of the State of New York and applicable U.S. federal law, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs Section 16.
- Entire agreement. These terms, the Privacy Policy and any terms shown at purchase are the entire agreement between you and us about Uncram.
- Severability. If any part of these terms is found unenforceable, the rest stays in effect.
- No waiver. If we don’t enforce a part of these terms, that doesn’t mean we give up the right to enforce it later.
- Assignment. You can’t transfer these terms without our consent. We may transfer them, for example to a company formed to run Uncram or in a merger or sale.
- Things outside our control. We aren’t responsible for delays or failures caused by events beyond our reasonable control, like outages of our providers, internet failures, natural disasters or government action.
- Notices. We may send notices to your account email or show them in Uncram. You can reach us at the address below.
- Export. You agree to follow U.S. export and sanctions laws when using Uncram.
- Your consumer rights. Nothing in these terms limits rights you have under consumer protection laws that can’t be waived by contract.
